1.Acceptance of terms
By accessing or using Hopsule (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
You must be at least 16 years old to use Hopsule. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
These Terms constitute a legally binding agreement between you (“you” or “your”) and Hopsule Inc. (“Hopsule,” “we,” “us,” or “our”).
2.Description of the service
Hopsule is a hosted, commercial SaaS platform that provides the persistent memory layer for AI-assisted software development. The Service includes:
- Decisions: Structured architectural decision records with review workflows
- Memories: Project-level context that persists across AI sessions
- Capsules: Portable snapshots of project context for onboarding and sharing
- Enforcement: Advisory-only policy checks that surface warnings without blocking workflows
- Knowledge Graph (AI Brain): An auto-generated graph connecting decisions, memories, and project metadata
Access is provided through the Hopsule web application, CLI tool, MCP server, and IDE extensions. We may add, modify, or discontinue features with reasonable notice.
3.Account registration
To use Hopsule, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the accuracy of your account information
- Keeping your authentication credentials secure and confidential
- All activity that occurs under your account, whether or not authorized by you
- Notifying us immediately of any unauthorized access to your account
Each individual should maintain only one account. Organization administrators are responsible for managing member access, roles, and permissions within their organization.
4.Subscription & billing
Hopsule offers multiple subscription tiers, including free and paid plans. By selecting a paid plan, you agree to the following:
- Billing cycle: Subscriptions are billed monthly or annually, depending on the plan you choose. The billing cycle starts on the date of your initial purchase.
- Auto-renewal: Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
- Price changes: We will notify you at least 30 days in advance of any price increases. Continued use after the effective date constitutes acceptance.
- Refunds: Refunds are handled on a case-by-case basis. Contact us within 14 days of a charge for refund inquiries.
- Taxes: Prices do not include applicable taxes. You are responsible for any taxes associated with your subscription.
Enterprise customers may have separate billing and payment terms outlined in their individual agreements.
5.Your content & data ownership
You retain full ownership of all content you create within Hopsule, including decisions, memories, capsules, tags, comments, and task data. By using the Service, you grant Hopsule a limited, non-exclusive license to process your content solely to provide and improve the Service.
- You own every decision, memory, and capsule you create
- We never store your source code - only structured metadata
- We never use your content to train AI models
- Your data is never shared across organizations - isolation is architectural
Upon termination or deletion of your account, you may export your data within 30 days. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
6.Acceptable use
You agree not to use Hopsule in any way that violates applicable laws or these Terms. The following activities are strictly prohibited:
- Reverse engineering, decompiling, or attempting to extract the source code of the Service
- Circumventing rate limits, authentication mechanisms, or access controls
- Using the Service to store, transmit, or distribute malicious software
- Interfering with or disrupting the Service or its infrastructure
- Accessing other users' data without authorization
- Using the Service for any unlawful, fraudulent, or deceptive purpose
- Reselling or redistributing access to the Service without written consent
- Automating account creation or using bots to manipulate the platform
Violation of this section may result in immediate suspension or termination of your account without prior notice.
7.Intellectual property
The Hopsule name, logo, website, software, documentation, and all related materials are the intellectual property of Hopsule Inc. and are protected by applicable copyright, trademark, and other intellectual property laws.
Your content: As stated in Section 5, you retain all ownership rights to the content you create within Hopsule. We claim no intellectual property rights over your decisions, memories, capsules, or other user-generated content.
Feedback: If you provide suggestions, feature requests, or other feedback about the Service, you grant Hopsule a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.
8.API & integration usage
Hopsule provides programmatic access through the REST API, CLI tool, MCP server, and IDE extensions. When using these integrations:
- You must authenticate all API requests with valid credentials
- You must respect published rate limits; exceeding them may result in temporary throttling
- You are responsible for the security of your API keys and tokens
- Automated usage (scripts, CI/CD pipelines) must comply with these Terms
- Third-party integrations (e.g., GitHub, IDE plugins) are subject to their own terms in addition to ours
We reserve the right to modify API endpoints, response formats, or rate limits with reasonable advance notice.
9.Advisory enforcement disclaimer
Advisory-only enforcement
Hopsule's enforcement system is strictly advisory. It surfaces warnings, suggestions, and policy reminders - but it never blocks merges, pushes, deployments, or any other development action.
All decisions regarding your codebase, architecture, and deployments remain entirely yours. Hopsule provides contextual guidance based on your team's recorded decisions and policies, but you are solely responsible for evaluating and acting on that guidance.
Hopsule does not guarantee the accuracy, completeness, or applicability of any advisory enforcement output. The Service is a tool to assist - not a substitute for - professional engineering judgment.
10.Service availability & SLA
We strive to maintain high availability for the Hopsule platform. However, the Service is provided “as is” and we do not guarantee uninterrupted access. Specifically:
- Scheduled maintenance: We may perform maintenance during low-traffic periods and will provide advance notice when possible
- Unscheduled downtime: We are not liable for interruptions caused by factors beyond our reasonable control, including network failures, third-party outages, or force majeure events
- Enterprise SLA: Customers on Enterprise plans may negotiate specific uptime commitments and support response times through separate agreements
We maintain a public status page and will communicate significant incidents through email notifications and in-app alerts.
11.Termination & suspension
By you: You may cancel your account at any time from your account settings. Upon cancellation, your access will continue until the end of the current billing period.
By Hopsule: We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice unless immediate action is necessary to protect the Service or other users.
After termination: You will have 30 days to export your data after account termination. After this grace period, all your data (decisions, memories, capsules, and project metadata) will be permanently deleted. Encrypted backups are purged within an additional 30 days.
12.Limitation of liability
To the maximum extent permitted by applicable law:
- Hopsule shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- Our total aggregate liability arising from or related to these Terms or the Service shall not exceed the amounts you paid to Hopsule in the 12 months preceding the claim
- The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
13.Indemnification
You agree to indemnify, defend, and hold harmless Hopsule Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content you create, upload, or share through the Service
- Any third-party claim related to your use of the Service
14.Changes to these terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the “Last updated” date at the top of this page
- Notify you via email or an in-app notification at least 30 days before changes take effect
- Provide a summary of what changed for easy reference
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and may cancel your account.
15.Contact & governing law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
